Terms of Use
Updated: 2 November 2026
These Terms govern the use of the ProLeadly website, client portal and studio services: websites and web applications, integrations, automation, bots, SEO research and digital-footprint reports.
By ordering a service or creating an account you accept these Terms. A signed contract or proposal takes precedence over these general Terms.
1. About us and scope
ProLeadly is an independent development and automation studio in Armenia. We design and build websites and web applications, integrations and process automation, Telegram and WhatsApp bots, SEO research, audits and personal digital-footprint reports.
These Terms apply to proleadly.com, the client portal and our services unless an invoice, contract or proposal says otherwise.
2. Orders, scope and timelines
An order starts after the brief, scope, timeline and price are agreed. We record this in a proposal, invoice or correspondence.
Timelines depend on client feedback. The client provides materials, access and decisions on time; client delays move the timeline.
Scope changes are estimated separately. Work is deemed accepted if no reasoned comments arrive within 5 business days.
3. Prices and payment
Prices are in US dollars unless agreed otherwise. We work with prepayment or milestones, as set out in the invoice.
- Bank transfer to the studio account
- Bank transfer by invoice — we issue the invoice after a request
- USDT on the TON network to the address in the invoice or on the payment page
Taxes and payment-provider fees not included in the invoice are paid separately. Domains, hosting, APIs and other third-party costs are paid by the client or reimbursed separately.
If payment is overdue, we may pause work and access after notifying the client.
4. Cancellation and refunds
Cancellation and refund terms are set out in the Refund Policy. Digital reports have their own rules: a 100% refund if there are no findings or the report does not match its description.
For project work, the full prepayment is refunded before work starts; after it starts, the unused balance is refunded less completed work and actual third-party costs.
Statutory consumer rights that cannot be limited apply regardless of these Terms.
5. Deliverables, rights and content
The client keeps rights to their materials, data and content. We receive a limited right to use them only to deliver the project.
After full payment the client receives rights to the agreed deliverables to the extent set out in the contract. Our libraries, templates, methods and reusable components remain ours, with a perpetual licence for use with the deliverables.
We may show a project in our portfolio only with the client's permission. We do not publish confidential data or NDA-covered details.
6. Acceptable use
You may not use our services or deliverables to:
- Break the law, third-party rights or platform rules
- Send spam, unsolicited bulk messages or deceive people
- Distribute malware, hack or bypass protection
- Collect or check other people's data without consent
- Harass, defame or unlawfully process personal data
Bots and automation must comply with Telegram, WhatsApp and Meta rules. The client is responsible for the lawfulness of scenarios and messages.
In Digital Cleanup we work only with the data owner. We decline requests about other people and refund the payment.
7. Third-party services
A project may depend on hosting, platforms, payment providers, APIs and AI models. We choose them carefully but are not responsible for their outages, price changes, blocks or discontinuation.
Third-party accounts are opened in the client's name unless agreed otherwise. The client must comply with their terms.
8. AI features
AI speeds up work but can be wrong. Generated code, texts and bot answers need review. We check deliverables before handover but do not guarantee that AI answers are always accurate or appropriate.
The client is responsible for how the bot is used in their business and for reviewing critical scenarios.
9. Availability and support
Availability and support are defined by the contract or plan. Without an agreed SLA, support is provided on business days and is not 24/7.
We may perform scheduled maintenance and will give notice where possible.
10. Confidentiality
We do not disclose project data or materials to third parties beyond the providers needed to do the work. We sign an NDA on request.
The client also agrees not to disclose our methods, internal materials and terms marked as confidential.
11. Limitation of liability
Our liability for any claim is limited to the amount actually paid for the relevant service, and no more than for the last 6 months.
We are not liable for indirect losses, lost profit, data loss caused by third parties, or decisions made on the basis of a report or audit.
Nothing in these Terms excludes liability that cannot be excluded by law.
12. Suspension and termination
We may suspend access for a breach of these Terms, non-payment or a security threat, notifying the client where possible.
The client may stop using the services at any time. Unused prepayment is refunded under the Refund Policy; completed work is paid for.
13. Warranties and results
We perform work professionally and within the agreed scope. We do not guarantee specific search rankings, sales growth or other business results that depend on the market and the client's actions.
Third-party services and beta features are provided as is.
14. Changes, governing law and disputes
We may update these Terms; the new version is published on this page with its date. We notify clients of material changes.
These Terms are governed by the law of the Republic of Armenia. The parties aim to resolve disputes by negotiation and, failing that, in a competent court in Armenia.
